Tesla's Board of Directors sent shareholders a letter on October 29, 2026, asking them to vote "FOR ALL proposals" at the 2026 Annual Meeting, and most of all to re-elect three directors. Tesla filed the letter with the SEC as additional proxy materials and posted it on its VoteTesla.com site. This is what the filing says. As of 6:50 PM ET on October 29, it is the only source for the letter's text.
What the letter asks
- The annual meeting is on December 3, 2026, at 3:00 PM CT.
- Three Class I Directors are up for re-election: Elon Musk, Robyn Denholm (Board Chair) and JB Straubel.
- The Board asks shareholders to vote "FOR" all three and for every proposal on this year's ballot.
The letter says the Board has "the right team and the right leadership" for what it calls Tesla's "next phase of transformational growth." It describes the three nominees' roles and backgrounds in a few lines each.
What the Board says Tesla has done
The Board's own list of results is part of the filing. These are Tesla's statements, not figures we have checked independently:
- FSD (Supervised) has 1.74 million paid customers worldwide, with a record attach rate of about 75% on new vehicle deliveries in North America as of Q3 2026.
- Tesla has delivered more than 10 million vehicles to date.
- Trailing twelve-month revenue is above $100 billion.
- The Next Gen Roadster was unveiled in October 2026, a Semi factory is opening in Nevada, and a high-volume Optimus production line is in Fremont.
The letter also names a "Terafab" factory in Texas that the Board says will secure the supply of critical components. It gives no timeline in the text we reviewed.
How to vote
The filing lists four ways to vote: online with the control number on your proxy materials, by phone if you are a registered shareholder, by scanning the QR code on your proxy materials, or by mail with the proxy card. Tesla names Innisfree M&A Incorporated as its proxy solicitor for questions.
What it means for owners
Owning a Tesla does not give you a vote. Only shareholders of record can vote on these proposals. For owners, the meeting matters because the company's product plans, including Robotaxi, Cybercab and Optimus, are discussed there. Our earlier explainer covers what is on the ballot. We will report the results after the meeting.
This post reports what the Board wrote and filed. It does not endorse a vote or predict the outcome.
