Tesla has set the date for its 2026 annual shareholder meeting. The company's proxy statement, filed with the SEC on October 19, says the meeting is on December 3, 2026, at 3:00 p.m. Central Time.
When and where
- Date and time: December 3, 2026, 3:00 p.m. Central.
- In person: Gigafactory Texas, 1 Tesla Road, Austin, Texas 78725. Seats are limited, and Tesla says attendance will be allocated by lottery.
- Online: shareholders can attend at virtualshareholdermeeting.com/TSLA2026, and the webcast is listed at tesla.com/2026shareholdermeeting.
- Record date: October 13, 2026. Only people who held Tesla shares at the close of business that day can vote.
What shareholders will vote on
The filing lists three proposals:
- Elect three Class I directors to three-year terms: Elon Musk, Robyn Denholm and JB Straubel. The board recommends voting for each nominee.
- A non-binding advisory vote on 2025 executive compensation (often called say-on-pay). The board recommends voting for it. Because the vote is advisory, it does not change any pay arrangement by itself.
- Ratify PricewaterhouseCoopers LLP as Tesla's independent auditor for the year ending December 31, 2026. The filing says PwC has audited Tesla's financial statements since 2005. This one needs a majority of the voting power present and entitled to vote.
Retail voting program
The proxy also describes a Voluntary Retail Voting Program, which it calls a no-fee, investor-directed voting process similar to those already available to institutional investors. We have not confirmed the program's full rules, so check the proxy's question-and-answer section if you hold shares through a broker.
What it means for owners
For most Tesla owners, nothing changes on December 3 unless you also own the stock. If you do, the record date has already passed, so your vote depends on what you held on October 13. This is a company governance event, not a software, price or delivery announcement.
Tesla's third-quarter results come first. The company set its Q3 earnings call for October 21, and it recently reported 486,532 deliveries for the quarter.
