Tesla 10-Q: Board Forms Special Committee on SpaceX Combination

Tesla's board has formed a special committee to look at a closer relationship with SpaceX, which could include a business combination. Tesla disclosed it in its quarterly report (Form 10-Q) filed with the SEC on October 22, 2026. The filing says nothing has been agreed. For owners, nothing about your car or your warranty changes today.

What the filing says

The disclosure sits in Item 5 of the 10-Q for the quarter ended September 30, 2026. In Tesla's words:

"The Tesla board of directors has formed a special committee (the "Special Committee") comprising disinterested directors to explore deepening Tesla's relationship with SpaceX, which could be through certain arrangements including without limitation a business combination (a "Transaction")."

The filing adds that "there is no assurance that any such Transaction will be consummated." A Transaction "would be subject to, among other things, the affirmative recommendation of the Special Committee and, if agreed upon, any necessary shareholder approval."

What is confirmed, and what is not

  • Confirmed: the board formed a committee of disinterested directors, and its job is to explore a deeper relationship with SpaceX, including a possible business combination.
  • Not confirmed: any deal, price, structure or timetable. The filing gives none, and it is not an announcement of a merger.
  • Required before anything happens: the committee's recommendation and, if a deal is agreed, any necessary shareholder approval.

How Tesla and SpaceX are already connected

The same filing describes ties that already exist. In Note 13, Tesla says it does business with entities its CEO and directors are affiliated with, including SpaceX, under its Related Person Transactions Policy. It also says its CEO serves as CEO of SpaceX.

  • Tesla invested $2.00 billion in SpaceX common stock in March 2026, an ownership interest of less than 1%.
  • Tesla recognized $221 million of revenue in the third quarter, and $626 million over nine months, from SpaceX's purchases of Megapack batteries.
  • As of September 30, 2026, accounts receivable from SpaceX was $729 million, and deferred revenue on Megapack contracts with SpaceX was $648 million.

Tesla's results for the quarter are in our Q3 2026 earnings recap. Tesla's Megapack business is covered in Tesla is deploying Megapack batteries at a record pace.

What it means for owners and buyers

This is a corporate and shareholder matter at this stage. Nothing in the filing changes how Tesla vehicles are sold, serviced, financed or updated, and it announces no product, price or software change. Your vehicle warranty, Supercharger access and software updates are unaffected by the disclosure.

Shareholders will have a say if a deal is ever proposed. Tesla's 2026 annual meeting is a separate event; see Tesla annual meeting 2026: December 3, three votes on the ballot for the date and the ballot.

As of the evening of October 22, 2026, Tesla has not said when the committee will report, or whether it expects to recommend anything. We will cover any further filing or announcement from Tesla once it is confirmed.
